Introduction

Linda Hart has worked in equity administration for over thirty years. Eighteen months ago she joined Pebl as Principal Equity Administrator and inherited an equity management and cap table platform that didn't quite meet the company's standards.

When Pebl started evaluating alternatives, she knew exactly what she was looking for. Over three decades in equity compensation had helped her build a checklist that would determine Pebl’s next solution.

The Challenge

Before Slice: A Platform That Made Her Wait

Pebl’s previous provider had moved into the equity management space from a prior vertical and it showed. 

"It took about 3 minutes to make one small little edit"

Every change within the system took time that no equity administrator has.

"if you had numerous updates, which I did, it could take you all day to get through possibly 10 grants"

This frustration compounded when it was discovered that some records couldn't be corrected from the administrator's side at all, but only through the provider's support queue, which had an average turnaround time of 24-48 hours. This meant Linda needed to build this delay into how she worked with the rest of the business, asking colleagues for two days' notice on anything that needed updating.

Reporting also had its own limitations. Pebl issues double-trigger RSUs, where nothing vests until a liquidity event occurs as well as the standard passage of time. The previous provider had difficulty with this concept and ignored the accrual of time-based vesting in the hybrid schedule. 

The catalyst

Frustration with the platform eventually reached the board, where It was discovered that Pebl wasn’t the only unhappy customer of their current provider.  One of their investors' had heard similar complaints and recommended Slice.

The investor asked Linda for time on her calendar, suggested she look at Slice, and left the decision with her.

"He had heard some great things about Slice and that I may want to just take a look at the platform."

The Solution

The Decision: Pebl’s Equity Management Checklist

The checklist Linda built to evaluate potential solutions can be broken down into five questions, and together they are a fair summary of what an equity management platform is asked to do.

1. Can the administrator control the system of record? Editing speed comes first, but so too does fixing a record directly rather than filing a ticket and waiting for somebody else to do it.

2. Can it handle the equity award structures the company uses or do they need to build workarounds? Can they support Double-trigger vesting, RSUs, phantom units and unique vesting concepts?

"we have what's known as a three-month post termination vesting period (which is rare for an RSU), and so we wanted to make sure that we would be able to easily adjust that vesting for people as they terminate"

3. Does the reporting reflect the current reality? Is time-based vesting visible under a double trigger? Are unvested and outstanding units categorized? Cancellations tracked? Does the platform have stock-based compensation reporting? 

4. Does it connect to everything else? Participant access for employees? Single sign-on? An HRIS integration and data room?

5. Can it handle important material events? Tender exchanges? Bulk actions across grants and participants? A sandbox for scenario modelling?

Slice passed this checklist, but with one additional caveat.

What wasn't on the list

Global equity compliance wasn’t on the checklist, because in thirty years, no other platform had offered it.
